Terms and Conditions


ARTICLE 1. DEFINITIONS

For the purposes of these Terms and Conditions, the terms below have the following meanings:

  • "TOKERO" or "the Operator" - refers to the legal entity GLOBE MONNAIE S.R.L., a Romanian legal entity with registered office in Craiova, Dolj County, str. Deceneu, nr.22, bl.22A, registered at the Trade Registry under no. J2017001839162, CUI 37865699, as operator of the SocialFi platform.
  • "SocialFi Platform" or "the Platform" - designates the set of functionalities and services available at tokero.com, constituting a social network dedicated to financial education, communication, and collaboration among users interested in investments, economics, entrepreneurial initiatives, and community interaction.
  • "User" - any natural or legal person who accesses and uses the SocialFi Platform under these Terms and Conditions, subject to the conditions set out in Art. 2.3.
  • "SocialFi Account" - the account created by the User on the SocialFi Platform, accessible via the email address and password set at registration or by linking with a previously created Exchange account.
  • "Exchange Account" - the account created by the User on the Exchange Platform, subject to a full KYC verification process, governed by the T&C Exchange.
  • "Verified User" - the User who has completed the identity verification process (KYC) on the SocialFi Platform, thereby acquiring a distinct status and access to extended functionalities.
  • "KYC" (Know Your Customer) - the process of verifying the User`s identity, which involves the provision and validation of identity documents.
  • "Content" - any text, image, graphic, video, financial data, analyses, opinions, or any other material published or transmitted by the User on the SocialFi Platform.
  • "Feed" - the main content stream of the SocialFi Platform, publicly accessible or account-based, depending on applicable privacy settings.
  • "Handle" - the User`s unique public identifier on the SocialFi Platform, chosen at profile creation.
  • "Personal Data" - any information that, directly or indirectly, allows the identification of a natural person, as defined by Regulation (EU) 2016/679 (GDPR).
  • "GDPR" - Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of personal data.
  • "Services" - the totality of functionalities offered by the SocialFi Platform, including but not limited to: content publishing, social interaction, feed access, portfolio tracking, Discover section, etc.
  • "Exchange Platform" - designates the digital asset exchange services operated by TOKERO, governed by the Terms and Conditions for TOKERO Crypto Exchange, distinct from the SocialFi Platform.

ARTICLE 2. SUBJECT MATTER AND SCOPE

2.1 Subject Matter of the Terms and Conditions

These Terms and Conditions govern the contractual relationship between TOKERO, as operator of the SocialFi Platform, and Users, as beneficiaries of the Services provided through the Platform.

2.2 Scope of Application

These Terms and Conditions apply exclusively to the use of the SocialFi Platform (tokero.com) and do not govern:

  • the use of the Exchange Platform and digital asset exchange services offered by TOKERO, which are subject to separate terms and conditions;
  • third-party services accessible through links or integrations available on the Platform;
  • the commercial or contractual relationships of Users with third parties, regardless of whether these are initiated through the Platform.

2.3 Acceptance of the Terms and Conditions

By creating a SocialFi Account and ticking the confirmation checkbox available during the registration process, the User expressly declares that:

  • they have read, understood, and fully accept these Terms and Conditions;
  • they are at least 16 years of age - in the case of minor users, responsibility for obtaining the necessary parental consent lies exclusively with them or their legal representatives; they are not subject to judicial interdiction or any other incapacity. All information provided at registration is accurate, complete, and up to date;
  • they accept the Privacy Policy and Cookie Policy of TOKERO.

Acceptance of the T&C constitutes the moment of conclusion of the contract between the User and TOKERO regarding the use of the SocialFi Platform.

ARTICLE 3. CREATION OF THE SOCIALFI ACCOUNT - REGISTRATION FLOWS

3.1 Standard flow - new users

New users who do not hold an Exchange Account may create a SocialFi Account by following the steps below:

  • Accessing tokero.com and selecting the registration option.
  • Entering the email address and a password that meets security requirements (at least one uppercase letter, at least one lowercase letter, at least one digit, at least one special character, minimum 8 characters).
  • Confirming the password and ticking the checkbox to accept the Terms and Conditions.
  • Confirming the email address by accessing the verification link sent to the provided address. The verification link has a limited validity period.
  • Completing the minimum profile data: First Name, Last Name, unique Handle (@), selecting areas of interest, and selecting country of residence.
  • Pressing the "Create" button to finalize the creation of the SocialFi Account.

Creating a SocialFi Account through the standard flow does not require completion of a KYC process and does not grant access to the Exchange Platform functionalities.

3.2 Flow for existing Exchange Platform users

Users who hold an active Exchange Account may access the SocialFi Platform using the credentials of the existing Exchange Account. After authentication, the creation of the SocialFi Account is completed by following the instructions displayed in the Platform interface, which may vary depending on the status of the user`s Exchange Account.

Regardless of the access method, when creating the SocialFi Account, the user will need to accept the SocialFi Terms and Conditions and complete the minimum profile data set out in Art. 3.1, points 5 and 6.

Users whose Exchange Account is fully KYC-verified automatically acquire Verified User status on the SocialFi Platform.

3.3 Password requirements

To protect the SocialFi Account, the password must cumulatively meet the following conditions:

  • at least one uppercase letter (A-Z);
  • at least one lowercase letter (a-z);
  • at least one digit (0-9);
  • at least one special character (e.g. !, @, #, $, %, ^, &, *);
  • minimum 8 characters in total.

TOKERO does not store passwords in plain text format. The password is encrypted using hashing algorithms in accordance with current security standards.

3.4 Uniqueness of the Handle

The Handle chosen by the User must be unique on the SocialFi Platform. TOKERO does not guarantee the availability of a particular Handle at the time of registration. Once chosen, the Handle may only be modified under the conditions and limits established by TOKERO through the Platform`s internal policies.

3.5 One account per user

Each User may hold only one active SocialFi Account. The creation of multiple accounts by the same User, regardless of the method or identities used, constitutes a breach of the T&C and may result in the suspension or deletion of all associated accounts.

ARTICLE 4. VERIFIED USER STATUS AND THE KYC PROCESS

4.1 Optional nature of KYC for SocialFi

Use of the basic functionalities of the SocialFi Platform (content publishing, interaction with other users, access to Feed, Portfolio Tracking, Discover) does not require completion of a KYC process. The User may access these functionalities immediately after confirming the email address and completing the profile data.

4.2 Conditions for acquiring Verified User status

Verified User status is acquired through one of the following methods:

  • Voluntary completion of the KYC process directly on the SocialFi Platform, in the dedicated section of the User`s profile.

4.3 Benefits of Verified User status

The Verified User benefits from:

  • a visual verification badge on the public profile;
  • access to extended SocialFi Platform functionalities, available exclusively to verified users, as communicated periodically by TOKERO;
  • enhanced credibility within the TOKERO SocialFi community;
  • priority access to beta functionalities or new Platform features.

4.4 The KYC process on the SocialFi Platform

The KYC process available on the SocialFi Platform involves:

  • Providing a valid identity document (identity card or passport depending on jurisdiction).
  • Taking a real-time selfie (liveness check) in accordance with the instructions displayed by the system.
  • Processing and validation of documents by automated systems and/or the TOKERO compliance team.

TOKERO processes the data provided during the KYC process in accordance with the Privacy Policy and the provisions of the GDPR. Identity documents and data are not used for purposes other than verifying the User`s identity.

4.5 The relationship between the SocialFi Platform and the Exchange Platform

Access to the Exchange Platform functionalities (trading, deposit/withdrawal of funds, conversion of digital assets) is conditional on the creation of a separate Exchange Account and completion of the full KYC process in accordance with the T&C Exchange, regardless of the User`s status on the SocialFi Platform.

The existence of a SocialFi Account, including with Verified User status, does not automatically grant access to the Exchange Platform and does not replace the registration and verification requirements applicable to the Exchange Platform.

ARTICLE 5. DESCRIPTION OF SOCIALFI PLATFORM SERVICES

5.1 Services available to all registered users

Registered users on the SocialFi Platform have access to the following services:

  • Feed - viewing, creating, and sharing posts, analyses, opinions, and financial content within the TOKERO SocialFi community;
  • Public Profile - creating and managing a public profile visible to other users, with the ability to customize: profile picture, Handle, areas of interest, country of residence, BIO text, links to own social media profiles;
  • Social Interaction - the ability to follow other users, like, share/repost, and comment on Feed posts within a certain limit;
  • Portfolio - functionality for tracking a personal portfolio of financial assets, strictly informational, without the ability to execute transactions directly from the SocialFi Platform;
  • Saved - the ability to save posts of interest for later consultation;
  • Discover - a section for exploring relevant content and users based on selected areas of interest.

5.2 Services available exclusively to Verified Users

Certain functionalities of the SocialFi Platform may be available exclusively to Users who meet specific criteria established by TOKERO, including but not limited to holding an active subscription, Verified User status, or other eligibility conditions communicated periodically through the Platform. The Terms and Conditions will be updated accordingly whenever such restrictions or extensions are introduced.

5.3 Informational nature of financial content

Financial content published on the SocialFi Platform, including analyses, opinions, forecasts, or recommendations regarding digital assets, financial instruments, or any other assets, is strictly informational and educational in nature. Content posted on TOKERO SocialFI represents exclusively the personal opinion of the author and does not constitute investment advice. Investments involve risks, including the total loss of invested capital.

Neither TOKERO nor Users of the SocialFi Platform provide financial advisory services, investment consultancy, or investment recommendations within the meaning of the MiFID II Directive or any other applicable regulation, through the SocialFi Platform.

The User is solely responsible for their investment decisions and for any losses or gains resulting therefrom, regardless of the content viewed on the SocialFi Platform.

5.4 Availability of Services

TOKERO makes reasonable efforts to ensure the continuous availability of the SocialFi Platform, but does not guarantee its uninterrupted operation. The Platform may be temporarily unavailable due to maintenance activities, technical updates, force majeure events, or other circumstances beyond TOKERO`s control.

TOKERO will notify Users in advance of planned maintenance periods, to the extent possible.

5.5 Age restrictions for certain Services

Certain functionalities of the SocialFi Platform, including the purchase of paid subscription plans and access to functionalities with direct financial implications, are available exclusively to users who have reached the age of 18. These functionalities will not be displayed or accessible to users for whom the Platform has identified an age below 18. TOKERO reserves the right to establish, for each functionality individually, the applicable age threshold, in accordance with current legislation and the nature of the respective service.

ARTICLE 6. USER OBLIGATIONS AND RESPONSIBILITIES

6.1 General obligations

The User undertakes to:

  • use the SocialFi Platform exclusively for lawful purposes and in accordance with these Terms and Conditions;
  • provide accurate, complete, and up-to-date data at registration and during use of the Platform;
  • maintain the confidentiality of authentication credentials (email address and password) and not disclose them to any third party;
  • immediately notify TOKERO if they suspect unauthorized access to their SocialFi Account;
  • respect the intellectual property rights of TOKERO and third parties;
  • comply with the TOKERO SocialFi community rules, as established in these Terms and Conditions and through the Platform`s internal policies.

6.2 Prohibited content

The publishing or transmission through the SocialFi Platform of any content that is the following is prohibited:

  • illegal, contrary to public order or good morals;
  • defamatory, insulting, threatening, harassing, or discriminatory on grounds of race, ethnicity, nationality, sex, sexual orientation, religion, disability, or other protected characteristic;
  • pornographic or sexually explicit in nature;
  • constitutes or facilitates fraud, deception, Ponzi schemes, market manipulation, or any other illegal or misleading activity;
  • represents spam, unsolicited commercial messages, or advertising content without TOKERO`s consent;
  • contains viruses, malware, malicious code, or any element likely to affect the operation of the Platform or Users` systems;
  • infringes the intellectual property rights of the SocialFI Platform and/or third parties (copyrights, trademarks, patents, trade secrets);
  • constitutes market manipulation or presents false facts as genuine financial analyses with the aim of influencing asset prices;
  • violates regulations on capital markets, payment services, electronic money, or digital assets applicable in the European Union or in the User`s jurisdiction.

6.3 Liability for content

The User is solely responsible for any Content published or transmitted through the SocialFi Platform. TOKERO acts exclusively as a platform provider (hosting provider) and is not responsible for Content created by Users, except in situations where, upon actual knowledge of illegal content, it fails to take the necessary removal measures in accordance with applicable legislation.

6.4 Account security

The User is responsible for all activities carried out from the SocialFi Account. TOKERO cannot be held liable for losses or damages caused by unauthorized access to the Account if the User has not complied with the security obligations set out in Art. 6.1.

ARTICLE 7. INTELLECTUAL PROPERTY

7.1 TOKERO`s rights

The SocialFi Platform, including the source code, graphical interface, design, logos, trademarks, trade names, databases, algorithms, and any other intellectual property elements incorporated in the Platform, constitutes the exclusive property of TOKERO or is used under valid licenses. These elements are protected by intellectual property legislation applicable in Romania and at European level.

No provision of these Terms and Conditions grants the User any ownership or license rights over the aforementioned elements, except for the limited right to use the Platform for the purpose of accessing the Services, in accordance with the T&C.

7.2 License granted by the User

Content published by users remains their intellectual property. By publishing, the user grants the TOKERO SocialFI Platform a non-exclusive, worldwide, irrevocable, and royalty-free license to use, reproduce, distribute, modify, and promote that content, in any format and on any channel, for the purpose of developing and promoting the platform. The User warrants that they hold all rights necessary to grant the aforementioned license and that the publication of the Content does not infringe the rights of any third party.

By accepting the Terms and Conditions, the user expressly waives any present or future financial claims against the TOKERO SocialFI Platform in connection with the use of the published content and confirms that they will not make any claims for compensation, royalties, or remuneration of any nature for its use.

The license granted to the Platform is irrevocable and cannot be withdrawn or cancelled by the user even in the event of deletion of the content or account, to the extent that the content has already been used, integrated, or distributed by the Platform prior to deletion.

TOKERO assumes no liability for the accuracy, veracity, or legality of user-generated content. Full liability rests with the author of the content.

7.3 Deletion of content and withdrawal of license

Furthermore, the user may at their own discretion delete content they post on their profile, shares, or comments they leave on other users` posts. In addition, all content posted in the user`s personal account will be deleted if the user account itself is deleted. In this situation, the Company will remove any data or elements that could lead to the direct or indirect identification of the user, with the exception of copies or shares made by other Users prior to deletion, which may remain visible in accordance with their settings.

ARTICLE 8. PERSONAL DATA PROTECTION

8.1 Data controller

GLOBE MONNAIE S.R.L. is the personal data controller within the meaning of the GDPR, for data collected and processed through the SocialFi Platform.

8.2 Categories of data collected at registration - standard flow

When creating a SocialFi Account through the standard flow (Art. 3.1), TOKERO collects:

  • email address - required for authentication and account-related communications;
  • password - stored exclusively in encrypted format (hash);
  • First Name and Last Name - provided when completing the profile;
  • the chosen Handle;
  • selected areas of interest;
  • country of residence;
  • profile picture (if voluntarily provided by the User);
  • technical access data (IP address, browser type, timestamp of registration and authentications).

8.3 Additional data collected during the KYC process

If the User voluntarily undergoes the KYC process or through an Exchange Account Claim, the following are additionally processed:

  • copy of the identity document;
  • biometric data in processed form (the result of the liveness check, not the raw image, if the technology used permits);
  • proof of address documents (if requested).

8.4 Legal bases for processing

TOKERO processes personal data on the following legal bases:

  • Performance of contract (Art. 6(1)(b) GDPR) - for data necessary for the creation and management of the SocialFi Account and the provision of Services;
  • Legal obligation (Art. 6(1)(c) GDPR) - for data processed to comply with obligations under anti-money laundering (AML) legislation, where applicable, or other legal obligations;
  • Legitimate interests (Art. 6(1)(f) GDPR) - for technical access data, for the purpose of Platform security and fraud prevention;
  • Consent (Art. 6(1)(a) GDPR) - for the processing of data for direct marketing purposes or for optional Platform functionalities.

8.5 Cookies and similar technologies

The Platform uses cookies and similar technologies for operation, security, analysis, personalization, and, where applicable, marketing, in accordance with the options expressed by the User.

8.6 User rights

As a data subject, the User benefits from the following rights:

  • the right of access to processed personal data;
  • the right to rectification of inaccurate or incomplete data;
  • the right to erasure of data ("right to be forgotten"), under the conditions and limits set out by the GDPR;
  • the right to restriction of processing;
  • the right to data portability;
  • the right to object to processing;
  • the right to withdraw consent at any time, without affecting the lawfulness of prior processing;
  • the right to lodge a complaint with the National Supervisory Authority for Personal Data Processing (ANSPDCP) or the supervisory authority competent in the User`s state of residence.

8.7 Privacy Policy

This article contains a summary of the essential aspects regarding data processing. Full details regarding the identity of the controller, the purposes and legal bases of processing, recipients of data, international transfers, storage periods, rights of data subjects, and relevant contact details are available in the Privacy Policy.

ARTICLE 9. LIMITATION OF LIABILITY

TOKERO SocialFI is a platform developed for informational, educational, and community purposes without guaranteeing continuous operation, the absence of technical errors, or full compatibility with all devices or user configurations.

To the maximum extent permitted by applicable legislation, TOKERO is not responsible for:

  • financial losses suffered by the User as a result of investment decisions made based on content available on the SocialFi Platform;
  • inaccuracies, errors, or omissions in content published by Users;
  • losses caused by unauthorized access to the SocialFi Account if the User has not complied with the security obligations;
  • temporary unavailability of the Platform due to technical, maintenance, or force majeure reasons;
  • indirect, incidental, special, or consequential losses, including loss of profit, loss of data, or loss of reputation;
  • actions or omissions of third parties, including other Users of the Platform.

Users are solely responsible for the way they use the information available on the platform and for the decisions made as a result thereof. TOKERO SocialFI does not act as a financial advisor, broker, or guarantor of information distributed by community members.

The Platform may be updated, modified, restricted, or suspended at any time without prior notice, and TOKERO SocialFI has no obligation to maintain functionality in its current form.

ARTICLE 10. SUSPENSION AND TERMINATION OF ACCOUNT

10.1 TOKERO`s right to suspend or close an account

TOKERO has the right to temporarily suspend or permanently close a SocialFi Account, without prior notice or with reasonable notice, in the event that the User:

  • breaches any of the obligations set out in the Terms and Conditions;
  • uses the Platform for illegal purposes or to the detriment of other Users or TOKERO;
  • provides false or misleading data at registration or during use;
  • creates multiple accounts fraudulently;
  • engages in market manipulation or fraud activities through the Platform;
  • does not respond within a reasonable time to verification requests sent by TOKERO.

10.2 User`s right to close the account

The User may request the closure of the SocialFi Account at any time, through the account settings or by submitting a request to [email protected]. The request will be processed within a maximum of 30 days. Certain data may be retained by TOKERO after the closure date, in accordance with applicable legal obligations and the Privacy Policy.

10.3 Effects of account closure

Upon closure of the SocialFi Account:

  • the User loses access to all functionalities of the SocialFi Platform;
  • Content published by the User may be anonymized or deleted, in accordance with the Privacy Policy and account settings;
  • the license granted to TOKERO under Art. 7.2 ceases for deleted content;
  • the closure of the SocialFi Account does not affect the Exchange Account, if it exists, which continues to be governed by the T&C Exchange;
  • any purchased subscription will not be refunded, and any future payments will no longer be charged.

ARTICLE 11. AMENDMENT OF THE TERMS AND CONDITIONS

11.1 TOKERO`s right to amend

TOKERO reserves the right to amend the Terms and Conditions at any time, for reasons including but not limited to: legislative or regulatory changes, changes to the Platform or Services, security requirements, or legitimate commercial considerations.

11.2 Notification procedure

In the event of material changes to the T&C, TOKERO will notify Users:

  • by displaying a notification message on the Platform, visible at the first login following the changes; and/or
  • by sending an email to the registered address, with a maximum of 30 days before the changes come into effect, except in urgent situations required by legal or security requirements, in which case the changes may take effect immediately.

11.3 Acceptance of changes

Continued use of the SocialFi Platform after the new T&C comes into effect constitutes tacit acceptance thereof. If the User does not accept the new T&C, they have the right to request the closure of the SocialFi Account in accordance with Art. 10.2 before the date the changes come into effect.

ARTICLE 12. APPLICABLE LAW AND DISPUTE RESOLUTION

12.1 Applicable law

These Terms and Conditions are governed by Romanian legislation, including but not limited to the Civil Code, Law no. 365/2002 on electronic commerce, Government Emergency Ordinance no. 13/2023 on digital services (transposing the DSA), the GDPR Regulation, and any other European regulations applicable to digital services and online platforms.

12.2 Amicable resolution

Any dispute or complaint regarding the use of the SocialFi Platform shall be notified to TOKERO in writing, at the email address [email protected]. TOKERO undertakes to analyze and respond to the complaint within 30 calendar days of receipt.

12.3 Alternative dispute resolution (ADR)

Consumer users (natural persons acting outside their professional activity) have the right to access alternative dispute resolution (ADR) procedures, in accordance with Directive 2013/11/EU.

12.4 Jurisdiction of courts

In the event that amicable resolution or ADR procedures are not possible, disputes will be subject to the exclusive jurisdiction of the competent courts of Romania, in accordance with applicable territorial jurisdiction rules.

For consumer Users habitually resident in the European Union, this clause does not affect the protections afforded by the consumer protection legislation of their state of residence.

ARTICLE 13. FINAL PROVISIONS

13.1 Entire agreement

These Terms and Conditions, together with the Privacy Policy, the Cookie Policy, and any other specific policies displayed on the Platform, constitute the entire agreement between TOKERO and the User regarding the use of the SocialFi Platform and supersede any prior understandings relating to the same subject matter.

13.2 Severability

If any clause of the Terms and Conditions is declared null, unenforceable, or inapplicable by a competent court, the remaining clauses remain in force and have full effect. The affected clause will be replaced, as far as possible, with a valid provision that reflects the original economic intent of the parties.

13.3 No waiver

The fact that TOKERO does not exercise or make use of a right provided by the T&C does not constitute a waiver of that right and does not prevent its subsequent exercise.

13.4 Assignment

The User may not assign the rights or obligations arising from these Terms and Conditions without the prior written consent of TOKERO. TOKERO may assign the rights and obligations under the T&C, with prior notification to Users, particularly in the case of corporate reorganizations, mergers, acquisitions, or business transfers.
