Terms and Conditions of Use
1. General Provisions
TOKERO SocialFI is a social platform integrated within the TOKERO ecosystem, designed for users interested in financial education, investments, and interaction within an active community.
The provider and technical operator of the TOKERO Platform infrastructure is Globe Monnaie SRL, a limited liability company established and operating in accordance with the laws of Romania, registered with the Trade Register under no. J16/1839/2017, with unique registration code 37865699 and intra-community VAT number RO44092588, having its registered office at Str. Deceneu, nr. 22, bl. 22A, ap. 2, Craiova, Dolj (hereinafter referred to as “TOKERO” or “the Company”).
Use of the SocialFI platform constitutes acceptance of these Terms and Conditions, which supplement, without replacing, the main Terms and Conditions of the TOKERO platform.
Please read these Terms of Use carefully. In order to access the SocialFI services, YOU, the user, must provide your explicit consent by clicking the button "I confirm that I have read and agree to the Terms and Conditions", followed by clicking the “Create” button.
If you do not agree with these Terms and Conditions, do not access or use the SocialFI platform.
2. Definitions
| ”TOKERO SocialFI Platform” | a digital social network integrated within the TOKERO ecosystem, dedicated to financial education, communication and collaboration between users interested in investments, economics, entrepreneurial initiatives, and interaction within a community. |
| ”TOKERO Ecosystem” | the set of digital services and platforms developed under the TOKERO brand, facilitating access to investments, financial education, crypto asset exchange, social interaction, and blockchain technologies. The ecosystem may include, but is not limited to, the TOKERO trading platform, TOKERO SocialFI, TOKERO Launchpad, and others. |
| ”User” | any natural or legal person who holds an account on the TOKERO SocialFI platform. |
| ”SocialFI Account” | the unique profile associated with a user, allowing the customization of their presence and interaction within the network. |
| ”Roles” | functional classifications of users (e.g., Explorer, Voice, Connector, Specialist), based on behavior, activity, or contribution within the platform. |
| ”User generated Content” | any form of material (text, image, video, link, reaction, etc.) published by a user within the platform. |
| ”Data Controller” | the natural or legal person, public authority, agency or other body which, alone or jointly with others, determines the purposes and means of the processing of personal data. |
3. User Eligibility and Account Creation
To be eligible to create an account on the TOKERO SocialFI Platform, the user must be at least 16 years old and must accept these Terms and Conditions of use.
At this stage of development, activating a SocialFI account requires the existence of a valid user account on the TOKERO Exchange platform. The following data will be automatically retrieved from that account:

full name;
-
country of residence;
-
associated email address;
-
unique user identifier.
Depending on the stage of development of the TOKERO SocialFI Platform, alternative account registration methods may be introduced (including direct sign-up or independent login). Any such change will be reflected through an update to these Terms and Conditions, which the user is responsible for reviewing. Continued use of the services provided by TOKERO SocialFI constitutes acceptance of such updates.
The user is responsible for updating their personal profile (biography, social media links, profile picture, and selecting or acquiring a specific role within the platform) and acknowledges that certain information may become publicly visible on the network.
4. Roles
TOKERO SocialFI enables structured social interaction based on functional roles, which are either automatically assigned or obtained by meeting specific eligibility criteria:

Explorer – the default role, allowing access to public content without posting privileges.

Voice – a user role that allows posting and publishing content, granted upon reaching a minimum number of followers or based on other algorithmic criteria.

Connector – a user who brings new members to the platform through referral or affiliation mechanisms.
-
Specialist – a profile with verified expertise in areas such as legal, tax, investment, etc. TOKERO reserves the right to request supporting documents or additional verification for this role.
TOKERO reserves the right to modify, remove, or introduce new roles, as well as to restrict or revoke access to certain functionalities based on user behavior, suspected fraud, policy violations, or other similar situations.
5. Conduct Within TOKERO SocialFI
TOKERO encourages users to engage with the SocialFI platform in alignment with its intended purpose: to contribute to meaningful conversations and create valuable content for the community. However, freedom of expression must not come at the expense of the safety, dignity, or integrity of other members of the network.
Therefore, users agree not to engage in, directly or indirectly, any of the behaviors listed below, nor to encourage or assist others in doing so:

publishing content that violates the law, public decency, or the rights of others (including defamation, hate speech, sexually explicit material, financial manipulation, etc.);

using the platform to promote products or services without the express prior consent of TOKERO;
-
attempting to defraud the system by creating multiple accounts, gaining unauthorized rewards, or manipulating content visibility algorithms.
TOKERO reserves the right to remove, block, or restrict access to any content that violates these rules. The company may also suspend or deactivate user accounts for behavior that breaches these terms, without any obligation to provide prior justification for such decisions.
6. Content Rights and Deletion
Content published by users remains their intellectual property. By posting such content, the user grants the TOKERO SocialFI Platform a non-exclusive, worldwide, irrevocable, perpetual, transferable and royalty-free license to use, reproduce, distribute, modify, adapt, display, publish and promote that content in any format and through any channel, for the purpose of operating, developing and promoting the platform.
By accepting the Terms and Conditions, the user expressly waives any present or future financial claims against the TOKERO SocialFI Platform in connection with the use of the content they publish and confirms that they will not request compensation, royalties or any form of remuneration for such use.
The license granted to the Platform is irrevocable and cannot be withdrawn or cancelled by the user, including in the event of deletion of the content or closure of the user account, to the extent that the content has already been used, integrated or distributed by the Platform prior to deletion.
TOKERO assumes no responsibility for the accuracy, truthfulness or legality of user-generated content. Full responsibility rests solely with the author of the content.
The user may freely delete any content they post on their profile, share, or any comments made on the posts of other users. Additionally, all content posted within the user’s personal account will be deleted if the user account itself is deleted. In such cases, the Company will remove any data or elements that could lead to the direct or indirect identification of the user, and any content that cannot be deleted (for example, elements forming part of public feeds or conversations) will be irreversibly anonymised.
7. Data Protection
Processing of personal data within the TOKERO SocialFI Platform is carried out in accordance with Regulation (EU) 2016/679 (GDPR) and the Company’s internal policies.
The Company ensures transparency regarding how data is collected, used and, where applicable, shared within the TOKERO ecosystem, solely for the proper functioning of the TOKERO SocialFI Platform and for improving user experience — without selling data to third parties.
7.1. Categories of Data Processed
Upon activation of the TOKERO SocialFI account, the following data is automatically retrieved from the TOKERO trading platform:

first and last name;
-
email address associated with the account;
-
country of residence;
-
unique user identifier;
-
data required for authentication and account security.
During the use of TOKERO SocialFI, additional data is collected, including:

profile image, biography, external links;
-
user-generated content (posts, images, videos, reactions);
-
technical data (IP address, logs, device type, sessions);
-
data relating to activity and interactions within the platform.
The Company may also process derived data (resulting from the use of the TOKERO SocialFI Platform, such as activity statistics or usage parameters) and aggregated data (combined at group level, with no possibility of identifying a user), necessary for:
-
analysing general usage behaviour;
-
preventing abuse;
-
optimising platform functionality.
Such data is not used for profiling that could produce legal effects on users — i.e., automated decisions impacting rights, obligations, access to services or user status within the TOKERO SocialFI Platform — and is not subject to any form of commercial use.
7.2 Purposes of Processing
User data is processed within the TOKERO SocialFI Platform for the following purposes:

Providing and administering platform services, such as account creation, configuration and management, displaying profiles, roles and user interactions, operating the feed, content sharing mechanisms and social features.

Ensuring platform security and integrity, through authentication, preventing unauthorized access, detecting fraud attempts, monitoring technical activities and implementing measures necessary to protect the digital infrastructure.

Optimising functionalities and improving user experience, including performance analysis, development of new features, technical testing and evaluation of platform usage in aggregated or anonymised form.

Managing interactions and moderating user-generated content, ensuring a safe environment, enforcing internal content policies and protecting the community.

Fulfilling the Company’s legal and compliance obligations, such as retaining mandatory records, responding to competent authorities and applying relevant legal requirements.
7.3 Legal Basis
Processing of user data within the TOKERO SocialFI Platform is based on the following GDPR legal grounds, depending on the nature of each processing operation:

Performance of the Terms and Conditions, when processing is necessary to provide the platform services, manage the account, operate social mechanisms, display the profile, enable interactions between users and maintain essential platform functionalities.

Compliance with the Company’s legal obligations, including requirements relating to IT system security, fraud prevention, record-keeping, cooperation with competent authorities or any other obligations imposed by applicable digital services legislation.

Legitimate interest of the Company, when processing is necessary to protect and improve the TOKERO SocialFI Platform, such as: securing the technical infrastructure, preventing abuse, detecting suspicious activities, analysing platform performance, optimising user experience or maintaining the integrity of user interactions. These operations are performed with full respect for users' rights and freedoms.

User consent, where expressly required for optional features or settings, such as certain personalization elements, specific cookies or additional services offered in the platform. Users may withdraw consent at any time, without affecting the lawfulness of processing carried out prior to withdrawal.
7.4 Data Recipients
User data on the TOKERO SocialFI Platform may be accessed or processed, to the extent necessary, by:

internal Company teams, including technical, operational and administrative staff, ensuring the operation, maintenance and security of the TOKERO SocialFI Platform infrastructure;
-
technical service providers (processors) involved in operating the platform, such as hosting and cloud services, content delivery, technical monitoring, storage, performance analytics, email, communication, ticketing or other technology solutions necessary for platform functionality;
-
contracted Company service providers performing auxiliary services (e.g., IT support, cybersecurity, audit, technical consultancy), strictly under agreements imposing confidentiality and data protection obligations;
-
competent public authorities, law enforcement bodies, regulators or institutions with legal powers, where the Company is required to provide data in accordance with applicable legislation;
-
other entities within the TOKERO ecosystem, only when required for integrated service operation and with appropriate GDPR safeguards;
-
technical partners who receive only aggregated or anonymised data, for purposes such as infrastructure optimisation, usage statistics, performance analytics or improving service functionality, without the ability to identify users.
The Company does not sell users’ personal data and does not authorise external third-party use of such data for independent purposes or direct marketing, beyond what is strictly necessary for the operation of the TOKERO SocialFI Platform.
7.5 International Transfers
Personal data is generally processed through service providers located within the European Union / European Economic Area (EU/EEA).
If certain technical services necessary for operating the TOKERO SocialFI Platform involve transfers outside the EU/EEA, the Company will carry out such transfers only in compliance with GDPR, using appropriate safeguards such as:

Standard Contractual Clauses (SCCs) approved by the European Commission;

additional technical and organisational measures to protect the data;
-
risk assessments regarding the destination country’s legislation.
Such transfers may occur when the Company uses providers that may have their headquarters, infrastructure or support teams outside the EU/EEA, for services such as:

cloud and hosting providers;
-
email and communication services;
-
technical analytics and performance monitoring;
-
ticketing systems;
-
videoconferencing and support services;
-
other essential technology solutions.
The Company performs international transfers only when strictly necessary for platform operation and only if an equivalent level of data protection to that in the EU/EEA can be ensured.
7.6 Storage Period
User data on the TOKERO SocialFI Platform is retained for limited periods, determined by processing purposes and legal obligations applicable to the Company:
-
for the duration of the user’s account, enabling access to services, functionalities and associated content;
-
thereafter, for the period required by legal obligations, such as record retention, system security, fraud prevention, cooperation with authorities or other relevant digital service obligations;
-
for temporary intervals necessary for technical processes, such as backups, operational logs or data replication mechanisms, used solely to ensure platform integrity and security.
After expiry of these periods, data is permanently deleted or anonymised so it can no longer identify the user in any manner.
7.7 User Rights
Users of the TOKERO SocialFI Platform benefit from all rights under GDPR, which may be exercised at any time, within legal limits and the purposes of processing:

the right of access – the ability to request confirmation of whether personal data is being processed, access to the data held, and information on how such data is used;
-
the right to rectification – the correction or updating of inaccurate or incomplete personal data associated with the account;
-
the right to erasure (“right to be forgotten”) – the right to request the deletion of data, provided that the data is no longer necessary for the stated purposes, no legal retention obligations apply, and no other legal basis justifies the processing;
-
the right to restriction of processing – the right to limit how data is used, for example during the verification of the accuracy or lawfulness of the processing;
-
the right to object – the right to object to processing carried out on the basis of the Company’s legitimate interests, including processing related to security, technical analysis or platform optimisation, where there are specific reasons related to the user’s particular situation;
-
the right to data portability – the right to obtain personal data provided to the Company in a structured, commonly used and machine-readable format and to transmit it to another controller, where feasible and applicable;
-
the right to withdraw consent – where processing is based on consent, the user may withdraw such consent at any time, without affecting the lawfulness of processing carried out prior to withdrawal;
-
the right to lodge a complaint with the Supervisory Authority.

7.8 Assignment of Rights and Obligations
The Company may assign or transfer, in whole or in part, the rights and obligations arising from these Terms and Conditions, as well as the operation of the TOKERO SocialFI Platform, to another entity within the TOKERO ecosystem or to a third party. Users will be informed of any such change, and continued use of the Platform after the effective date of the transfer shall constitute acceptance of the assignment.
The assignment shall not adversely affect the rights previously acquired by users and shall not result in any reduction of the level of protection of personal data, which shall continue to be processed in accordance with the GDPR and applicable legislation.
If a user does not agree with the transfer of the contractual relationship, the user has the right to cease using the TOKERO SocialFI Platform and to request the deletion of their account, in accordance with these Terms and Conditions.
7.9 Account Deletion
Upon deletion of a TOKERO SocialFI account:
-
user data is deleted or anonymised, within legal limits and in accordance with the Company’s data protection obligations;
-
certain data may be temporarily retained for fraud prevention, system security or legal compliance, within the limits permitted by GDPR;
-
certain previously generated content may remain visible only in fully anonymised form, where its removal would affect platform functionality or integrity, such as:
-
→ content shared by other users before deletion;
-
→ content redistributed or integrated into public feeds;
-
→ content forming part of discussion threads or comment chains;
-
→ temporary copies stored in logs, cache or backups, retained for limited periods under security policies.

In all such cases, the Company ensures that any information that could lead to the direct or indirect identification of the user is removed, and any remaining content is irreversibly anonymised.
8. Limitation of Liability
TOKERO SocialFI is a platform developed for informational, educational, and community purposes, without any guarantees of continuous operation, error-free performance, or full compatibility with all user devices or configurations.
TOKERO SocialFI shall not be held liable for:
-
financial, investment, or professional decisions made by users based on content viewed or published on the platform;
-
the accuracy, truthfulness, or completeness of user-generated content, including opinions, recommendations, or public statements;
-
any financial losses, reputational damage, or deterioration of business relationships resulting from interactions within the network;
-
temporary outages, technical errors, data loss, or other platform-related malfunctions.
Users are solely responsible for how they interpret and use the information available on the platform, as well as for the decisions made as a result. TOKERO SocialFI does not act as a financial advisor, broker, or guarantor of any information shared by community members.
The platform may be updated, modified, restricted, or suspended at any time, without prior notice. TOKERO SocialFI is under no obligation to maintain its functionality in any specific form.
9. Termination and Suspension
These Terms and Conditions remain in effect until terminated by either you or TOKERO.
You may terminate these Terms at any time if you no longer wish to use TOKERO services, by deleting your account from the Platform. You may also choose to discontinue using specific services within the TOKERO Ecosystem, in such cases, these Terms and Conditions will continue to apply to the remaining services you still access through the Platform.
TOKERO SocialFI reserves the right to temporarily or permanently suspend a user's access to the platform in the following situations:

breach of the requirements set forth in these Terms and Conditions;
-
behavior deemed abusive, fraudulent, or disruptive;
-
legal order, regulatory authority decision, or internal compliance procedure.
10. Governing Law and Jurisdiction
These Terms and Conditions are governed by the applicable laws of Romania and the European Union. Any dispute arising from the use of the TOKERO SocialFI platform shall be settled by the competent courts in Romania, unless otherwise agreed in a separate contract between the parties.
